These Terms of Service govern your use of the services provided by MindtechMedia.ai. By subscribing to or using our services, you agree to these terms. Read them carefully.
MindtechMedia.ai ("MindtechMedia.ai," "we," "us," or "our") is a business based in Dallas, Texas. We provide an automated AI sales agent service for service businesses. These Terms of Service ("Terms") form a binding agreement between you ("Client," "you," or "your") and MindtechMedia.ai.
We install and operate a 24/7 AI sales agent that works across your inbound channels, including Instagram direct messages, WhatsApp, Facebook Messenger, and a chat widget on your existing website. The AI qualifies leads, answers common questions, handles objections, books appointments, and where you enable it, collects deposits inside the conversation.
The service is delivered fully online. There are no required calls or meetings. Setup is completed from the information you provide at intake, and your agent goes live within 7 days of payment and your completed intake.
You can cancel your subscription at any time. When you cancel, your service continues through the end of the current paid billing period and is not renewed. We do not provide prorated refunds for partial billing periods except where required by law or as provided under the Booked Calendar Guarantee.
If your AI agent does not produce at least one qualified booking within the first 30 days after going live, we will refund your first month of service. In addition, we will continue working on your account at no additional charge until your first qualified booking is produced.
This guarantee applies only where you have provided accurate intake information, granted and maintained the access we need to your messaging channels, and not paused, disconnected, or interfered with the service during the guarantee period. A "qualified booking" means a scheduled appointment from a lead that meets the qualifying criteria configured for your business at intake.
While you are an active paying client, we do not onboard another business in your exact niche within your defined service area. Your service area is defined by industry at intake, for example by zip code, city, radius, or market area. The exclusivity lock is real and lasts as long as your subscription remains active and in good standing. If your subscription lapses or is cancelled, the exclusivity for your niche and area is released and may be claimed by another business.
You agree not to use the service to send unlawful, deceptive, harassing, or abusive messages, to violate the rights of any person, or to engage in any activity that could damage, disable, or impair the service or the platforms it connects to. We may suspend or terminate the service if we reasonably believe it is being used in violation of these Terms or applicable law.
We own all rights in the service, including the underlying technology, configurations, dashboards, training materials, and our brand. We grant you a limited, non-exclusive, non-transferable right to use the service while your subscription is active. You own your business content and your customer data. You grant us the rights needed to operate the service on your behalf, including to process messages and customer information for the purpose of delivering the service.
The service connects to third-party messaging platforms and tools that we do not control. Those platforms may change, limit, or discontinue their features or access at any time. We are not responsible for the availability, policies, or actions of any third-party platform, and changes by those platforms may affect how the service works.
The service is provided on an "as is" and "as available" basis. Except for the Booked Calendar Guarantee described above, we do not guarantee any specific level of leads, bookings, revenue, or business results. AI systems can make mistakes, and you are responsible for reviewing and standing behind the commitments made on your behalf. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, MindtechMedia.ai will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits or revenues, whether incurred directly or indirectly. Our total liability for any claim arising out of or relating to the service is limited to the amount you paid us for the service in the three months before the event giving rise to the claim.
You agree to indemnify and hold harmless MindtechMedia.ai and its owner from any claims, damages, losses, and expenses arising out of your use of the service, your content, your communications with your customers, or your violation of these Terms or applicable law.
You may cancel at any time as described above. We may suspend or terminate your access if you fail to pay, breach these Terms, or use the service in a way that creates legal or platform risk. On termination, your right to use the service ends and your niche and territory exclusivity is released.
These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws rules. Any dispute arising out of or relating to these Terms or the service will be resolved in the state or federal courts located in Dallas County, Texas, and you consent to the jurisdiction of those courts.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. If a change is material, we will make reasonable efforts to notify you. Your continued use of the service after a change takes effect means you accept the updated Terms.
